Astarta Holding completes transfer of its corporate seat from Netherlands to Cyprus

Astarta Holding, a parent company of Astarta-Kyiv, completed the transfer of its corporate seat from Amsterdam, the Netherlands, to Nicosia, Cyprus.

The Board of Directors adopted a resolution to start this procedure in April.

The company lost its corporate domicile in the Netherlands and commenced to operate under the name of Astarta Holding PLC.

Astarta Holding NV was formally deregistered from the Dutch Commercial Register as of 21 September 2022.

"The Migration took place without the Company being dissolved or ceasing to exist and without its reincorporation. Consequently, the shares in the Company were not replaced by new shares and remain listed on the Warsaw Stock Exchange and registered in the securities deposit under the same ISIN code. The voting rights and rights to profit, as well as other distributions, are not affected by the Migration," the message reads.

The migration did not affect the legal title to the company’s assets owned thereby prior to the migration nor did it affect the company’s liability for obligations assumed prior to the migration. As a result of the migration, however, the company’s creditors will no longer be able to commence legal proceedings against the company in the Netherlands based on its corporate domicile.

Creditors will be able to commence legal proceedings against the company in the Netherlands based on agreements provided that such agreements are governed by the laws of the Netherlands or provided that parties thereto have agreed that proceedings are to be submitted to the exclusive jurisdiction of the courts of the Netherlands.

As of September 18, Astarta Holding's market capitalization totalled USD 127 mln.
