Verevskyi’s company files with AMCU for acquisition of Agro-Region (UPDATED)

A company owned by Andrii Verevskyi, the main shareholder of Kernel, has filed an application with the Antimonopoly Committee of Ukraine (AMCU) seeking approval to acquire the Agro-Region group of companies, according to the draft agenda of the AMCU meeting scheduled for January 8.

ENSELCO HOLDING LIMITED (formerly KAPENATA LIMITED, Larnaca, Cyprus), which belongs to Andrii Verevskyi, submitted nine separate applications to the AMCU for approval to acquire companies within the Agro-Region group. The respective filings are dated November 24, 2025.

The applicant seeks to obtain direct control — i.e., more than 50% of voting rights at general meetings — over the following Agro-Region companies:

  • Harna Logistics
  • AR Ivky
  • AR Chudniv
  • AR Khmelnytskyi
  • AR Boryspil
  • AR Kozelets
  • AR Liubar
  • AR Borzna
  • Bilyi Tsvit

In each case, the transaction involves the direct acquisition of a stake that ensures a controlling interest in the enterprise.

According to YouControl, the key beneficiaries of Agro-Region through HARNA STOCKHOLM HOLDING AB are Aivaras Abromavičius (over 53.6%) and Lars Peter Elam Håkansson (44.28%).

On Wednesday, January 7, Latifundist.com reported that Kernel had reached an agreement to acquire the Agro-Region group. According to one of the sources, this is Kernel’s second attempt to acquire Agro-Region since the start of Russia’s full-scale invasion, as the parties failed to agree on the price during the first round of negotiations.

Sources told Latifundist.com that the deal provides for the purchase of the entire company, including corporate rights, land bank, machinery, and grain elevator capacities.

Taking into account the geography of the assets and land quality, land brokers surveyed by Latifundist.com estimate the transaction value at approximately USD 100–110 million, including corporate rights, fixed assets, and grain elevators.

UPDATED. January 8, 1:28 p.m. By its decision of January 8, the AMCU granted KAPENATA LIMITED permission to obtain direct control over nine Agro-Region companies through the direct acquisition of a stake, ensuring more than 50% of voting rights in the supreme governing body of each company.
